Master End-User License Agreement (EULA)

SmartCheq Software License Terms

IMPORTANT—READ CAREFULLY: This End-User License Agreement ("EULA") is a legal agreement between you (an individual) and Tower Point Group ("Provider") for the SmartCheq software product, which includes computer software and associated media ("Product").

BY INSTALLING, COPYING, OR USING THE PRODUCT, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE PRODUCT.

1 Nature of the Product (Simulation Only)

The Product is a non-commercial, offline research and educational tool designed to simulate Central Bank Digital Currency (CBDC) workflows.

  • NOT REAL MONEY: The Product does not issue, manage, or transfer actual currency or value.
  • NO AFFILIATION: The Provider is not a central bank, financial institution, or government agency.
  • OFFLINE ONLY: The Product is a local simulation; no data is transmitted to the Provider.

2 Grant of License

Provider grants you a personal, non-exclusive, non-transferable license to install and use the Product on a single macOS device for non-commercial research, testing, and educational purposes only.

3 Prohibited Uses and Restrictions

The Product is licensed, not sold. You may not:

  • Use the Product for any commercial purpose, live financial environment, or production system.
  • Reverse engineer, decompile, or disassemble the Product.
  • Rent, lease, lend, or redistribute the Product to third parties.
  • Modify or create derivative works of the Product.
  • Use the Product to misrepresent an affiliation with any central bank or regulatory body.

4 No Warranties (AS-IS)

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PRODUCT IS PROVIDED "AS IS" AND "WITH ALL FAULTS."

Provider disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and accuracy of simulation results.

There is no 90-day warranty, as the Product is provided free of charge for research. The entire risk as to the quality and performance of the Product is with you.

5 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE PROVIDER BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, OR LOSS OF INFORMATION) ARISING OUT OF THE USE OF OR INABILITY TO USE THIS PRODUCT, EVEN IF THE PROVIDER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Total Liability: Because the Product is provided at no cost, Provider's total liability under any provision of this EULA shall be limited to $0.00 USD.

6 Termination

This license terminates automatically if you fail to comply with any of these terms. Upon termination, you must destroy all copies of the Product.

7 Governing Law

This EULA is governed by the laws of the State of New Jersey, USA, without regard to conflict of laws principles.
